These general terms and conditions of sale (hereinafter referred to as “general terms and conditions of sale”) are entered into between: - on the one hand, any natural person wishing to make a purchase via the Eider Website, hereinafter referred to as “the Buyer” and, on the other hand, the company Snowleader SAS, with a capital of 863 860 euros, whose registered headquarters are at 4 allée du Parmelan 74370 Epagny Metz-Tessy, Tel.: 0872 442 8953 (local call charges apply), contact form, identified under Community VAT No. FR26 507 679 025, hereinafter referred to as “Snowleader”. Snowleader is registered under NAF code 4764Z, retail sale of sporting goods in specialised shops. The publishing director is Mr Thomas Rouault, Managing Director of the Hohneck Company, itself Chairman of the Snowleader Company.

Purpose and scope


The purpose of these general terms and conditions of sale is to define the terms and conditions of sale between Eider and the Buyer. They apply to all product sales available on the Eider Website, for all orders placed at one of the following addresses owned by Eider (hereinafter referred to as the “Website”): www.eider.dk, www.eider.gr, www.eider.sk, www.eider.com, www.eider.fr, www.eider.at, www.eider.lt, www.eider.biz, www.eider.tv, www.eider.lu, www.eider.pro, www.eider.ski, www.eider.co.uk, www.eider.uk, www.eider.cz, www.eider.nl, www.eider.se, www.eider.ch, www.eider.be, www.eider.de, www.eider.es, www.eider.it, www.eider.pl, www.eider.info, www.eider.net, www.eider.org


Any order placed on the www.eider.co.uk Website requires the Buyer to have read and understood these general terms and conditions of sale prior to placing the order, and to have accepted their entire content. These terms and conditions shall be effective upon confirmation of an order.


The general terms and conditions of sale that apply are those valid on the day the order is confirmed by the Buyer. Eider reserves the right to modify the general terms and conditions of sale at any time and without prior notice, in which case the changes will apply to all orders placed after this modification. The Websites www.eider.co.uk, www.eider.be, www.eider.ch, www.eider.at, www.eider.de are subject to the same general terms and conditions of sale as the Website.


Any change to the general terms and conditions of sale will be subject to a new agreement each time the Buyer makes a new purchase.


Eider services


2-1 Territorial scope of services


The products sold online on the Website are shipped to most countries. The geographical area covered by each sale may vary according to the distribution agreements of each of the suppliers listed, as well as delivery methods. Eider may use “country filters” on the Website to block orders from countries not included in the offer. In Europe, destinations requiring customs formalities such as the Basingen territory, the island of Heligoland, Jersey, Guernsey, the Isle of Man, the territories of Campione d'Italia and Livigno, the Canary Islands, Ceuta, Melilla, the Faroe Islands, Greenland, Aland, Mount Athos and the northern part of Cyprus are excluded.


2-2 Stock and availability


The products offered on the Website are listed with an exact availability and delivery date. This information is updated regularly. A product mentioned as being “in stock” is in Eider's own inventory. The actual availability of a product may vary rapidly depending on sales made on the Website or the inventory of products. A product mentioned as being “available within x days” means that we will be supplied within this period in business days by our supplier, depending on product availability at our suppliers. Errors or changes may occur in rare circumstances. A product mentioned as being “available on XX/XX/XX” means that we will receive the product in our warehouse on this date. This date does not correspond to the date the Buyer receives the product. Eider cannot be held responsible if the estimated time of product availability and delivery is modified. Should a product be unavailable after an order has been placed, Eider will contact the Buyer as soon as possible, by telephone or by email. The Buyer may choose to maintain their order without the missing product (for orders containing several products) or to cancel it. Eider will reimburse the Buyer by transferring funds to the Buyer's bank account within fourteen (14) days of the Buyer's payment.


2-3 Products specifications


The products sold are described and shown as accurately as possible. However, Eider cannot be held responsible for any errors or omissions in this regard. Products may differ from photographs.


2-4 Price


The prices of our products are shown in euros, all French taxes included, and are final on the Website. The prices of our products are shown in euros, all Belgian taxes included, and are final on the eider.be Website. The prices of our products are shown in Swiss franc, all taxes included, and are final on the eider.ch Website. The prices of our products are shown in pounds sterling, all taxes included, and are final on the eider.co.uk Website. For orders with a delivery address on the Channel Islands, UK VAT will be deducted at the checkout. They do not include shipping costs and other handling charges related to the Buyer's order, which are invoiced separately and indicated before the Buyer's order is validated. Eider reserves the right to modify its prices at any time without prior notice. The products will be charged to the Buyer according to the prices indicated when the order is validated. We regularly perform maintenance operations on our Website. This may result in pricing errors. In such cases, the order cannot be processed and we will contact the Buyer to cancel their order as soon as possible. The products remain the property of Eider until they have been paid in full.


2-5 International orders and customs duties


All orders shipped outside the European Union and French Overseas Departments and Territories will automatically be invoiced exclusive of tax (except for Switzerland and the United Kingdom). Import procedures, customs duties and any taxes relating to the delivery of an item outside the European Union and French overseas departments and territories are the sole responsibility of the Buyer. These taxes must be paid to the competent authorities in the country of delivery. The Buyer is solely responsible for verifying the importation possibilities of the products ordered under the law of the country of delivery. Eider is not required to check and inform the Buyer of applicable customs duties and taxes. Eider advises the Buyer to check with the competent authorities in their country. By ordering on the Website, the Buyer is considered as the official importer and is required to comply with all laws and regulations of the country where the goods will be delivered. Cross-border deliveries may be subject to opening and inspection by the customs authorities.


2-6 Handling costs


Eider reserves the right to apply a handling fee to all orders, of which the amount may vary and which is non-refundable should the order be returned, whether partially or in full.


Order terms and procedure


3-1 Requirements prior to any purchase


The Buyer must have legal capacity or parental authorisation to place an order on the Website.


3-2 Purchasing process


• Choice of products and placement in the shopping basket • Validation of the contents of the shopping basket • Identification on the Website if the customer is not already identified • Choice of delivery method • Choice of payment method and agreement to the General Terms and Conditions of Sale • Validation of payment • The Buyer may place an order on the Internet via the Website. The data communicated by the Buyer and registered by Eider when placing the order shall constitute proof of the transactions between Eider and the Buyer. The validation click after completing the order form is confirmation of the Buyer's order and an obligation to pay. This validation click constitutes proof which commits the customer to the order process and definitively validates the order. This click will be deemed to be irrevocable agreement to Eider's General Terms and Conditions of Sale and Privacy Policy. The agreement will only be effective after Eider has sent an email confirming that the order has been registered. After registration of the order, a detailed invoice that can be printed by the Buyer will be available on the Website in the “My Account" section. Eider reserves the right to refuse a delivery or to process an order if the Buyer has not paid in full or in part for a previous order, or if there is a payment dispute. 


3-3 Order processing


All orders are shipped the same day (Monday to Friday) if placed before 11am (or 2pm express). We will not be able to deliver on Saturdays for orders in stock placed before 1pm on Friday via the Evri carrier. Orders placed over the weekend will be processed on the next business day. Delivery times apply from the moment the parcel is collected from our warehouse. Our shipping department only operates on weekdays.


Payment


Eider offers different payment options. Orders are to be paid in Swiss franc on the eider.ch Website and in pounds sterling on the eider.co.uk Website. For all other Websites, orders are to be paid in Euro. For certain countries, we only offer payment via Paypal. Payment in full is due when the order is placed by the Buyer, who agrees to pay the price indicated for the item(s) ordered, which includes the price of the item(s), as well as the postage and other costs involved in processing the order. In order to prevent Internet fraud, Eider reserves the right to request a photocopy of an identity card and proof of address for any payment.


4 -1 Payment by card


Payment will only be accepted by one of the following credit cards: Credit/Debit card, Visa, Eurocard, Mastercard, American Express. The card is charged when the order is confirmed. The Buyer guarantees Eider that they have the necessary authorisation to use the card payment method when placing the order. Eider uses all necessary means to guarantee the security and confidentiality of data transmitted on the Website (including online payment, under the conditions indicated in the Privacy Policy).


4-2 Payment by Paypal


Paypal is a payment service provider that specialises in issuing electronic money between the Buyer and a third party. Paypal guarantees the confidentiality of the Buyer's bank details. The Buyer's bank details are therefore never disclosed to us. PayPal encrypts and protects the card number. The Buyer pays online simply by entering their email address and password.


4-3 Payment by bank transfer


If the Buyer chooses to pay using a bank transfer, our bank details will be displayed. The transfer can be made in pounds sterling on the eider.co.uk Website, in Swiss franc on the eider.ch Website and in Euro for other countries. We will wait for the Buyer's payment before preparing and dispatching their order. The products ordered are reserved upon payment reception. When paying by bank transfer, delivery deadlines only start to run from the date of actual payment reception. We ask the Buyer to include their order number with their payment. The order will not be validated until the full amount has been paid. International transfers must not be made with shared charges or charges payable by the recipient, as we will not receive the full amount due.


Delivery


Products are shipped to the delivery address indicated during the ordering process in the destinations mentioned in article 3 above. In case of an error in the delivery address, Eider cannot be held responsible for the non-delivery. In such cases, the costs of a new delivery will be charged to the Buyer and invoiced at their actual cost. Eider agrees to deliver the items ordered as soon as possible depending on the delivery method chosen and the availability of the items. The delivery times indicated on the Website are the usual average times and correspond to the total processing and delivery times. When the Buyer orders several products at the same time and the delivery times are different, the actual delivery time may be the longest, as the entire order is prepared when all the products it contains are in stock at Eider. Delivery is deemed to have taken place as soon as the product has been handed over to the Buyer. The delivery note given by the carrier, and dated and signed by the Buyer when the order is delivered, is proof of transportation and delivery.


5 -1 Verification of the parcel's condition upon delivery


Eider recommends that the Buyer check the contents, conformity and condition of the parcel(s) in the presence of the carrier upon delivery. Should the Buyer have any doubt whatsoever about the condition or contents of the parcel, the Buyer must: - check the condition of the goods received and make precise handwritten observations, dated and signed, and have the delivery person sign next to them; and make any claim against the carrier in a registered letter with delivery receipt within ten (10) business days of receipt and send a copy to Eider. After this period, the product will be deemed to have been received correctly by the Buyer, who will no longer be able to claim a delivery error or an apparent defect. The verification of the parcel delivered is deemed to have been carried out and may no longer be contested, once the Buyer or any person authorised to receive the parcel has signed the delivery note. Under no circumstances will Eider be held responsible.


5-2 Delivery delays


Should there be a delay in delivery, or should parcels be lost by the carriers, the Buyer must notify Eider by email, by chat or by telephone within ten (10) days of receiving the order confirmation by email. We will assist the Buyer in dealing with the carriers. Should a problem arise during delivery, the investigation time is long. It can take up to a month.


5-3 Delivery in the Buyer’s absence


If the recipient is absent at the time of delivery, the carrier will leave a delivery notice at the delivery address indicated by the Buyer or inform them that the parcel has been delivered elsewhere. The order must be collected from the address and in the way indicated by the carrier. If the order is not collected within the time limit set by the carrier, it will be returned to Eider, which will refund the price of the goods, excluding delivery costs, which will be charged to the Buyer.


Right of Withdrawal


6-1 Conditions to exercise the Right of Withdrawal


The Right of Withdrawal is considered to have been correctly applied if the following conditions are fully met:


- Procedure


The buyer can exercise their Right of Withdrawal by notifying our Customer Service using our contact form, online chat, or by calling 0872 442 8953 (local call charges apply). Our Customer Service will send a confirmation of cancellation and refund by email once the transaction has been completed. If required, we can provide this cancellation form.


- Time period


The Buyer has thirty (30) clear days from the date of delivery of the product to request a return without having to give reasons. After contacting customer service, the Buyer has fourteen (14) clear days to return the goods in their original condition. All indicated times run in calendar days.


- Condition of the product


The product must be returned in its undamaged and original condition, properly protected in its original packaging, together with any accessories, instructions and documentation supplied at the time of purchase. Please note that the products delivered must not have been used to an extent that exceeds what is necessary to evaluate their nature, characteristics and correct functioning. If they have been tested, we ask the Buyer to clean up all traces of use. Otherwise, we will have to invoice you a fixed amount of 20 pounds.


- Exceptions


It is to be noted that the following products cannot be returned or exchanged:


- Personalised products or products made according to the specifications requested by the Buyer.


In the case of returning a bundle, the customer must return the entirety of the bundle. It is not possible to return an individual product from a bundle.


- The return of products may be refused on certain underwear such as boxers


- In accordance with article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised following the supply of PPE (safety equipment subject to legislation on Personal Protective Equipment) which includes in particular harnesses, carabiners, descenders, cams, ropes, straps and all safety and belay equipment for climbing and mountaineering.

 


6-2 Return procedure


The Buyer must log into their customer account in the My Orders area and select the relevant order for making the return request. If the order is within the time period allotted for an order to be returned, (see 6-1 Conditions to exercise the Right of Withdrawal), the customer will be able to click on the ‘Return a product’ button and subsequently follow the procedure of making a return request.


Clicking on “return a product" takes the customer to a page showing all the products in the order. Customers must tick the items they wish to return and indicate the quantity, the condition of the product(s) being returned and the reason for the return. A second step allows the customer to enter the desired method of reimbursement for the return. Once the return request has been confirmed, the Buyer must go to the “my returns and credit" tab to download the return form to be enclosed in the parcel. We ask that the Customer enclose the preparation slip that they received with their order. 


If the order is eligible for the automatic issue of a returns label, this will also be downloadable from the customer account, in the “my returns and credits" tab. The label must be attached directly to the parcel in order to send the item back to our warehouse, a £6.99 fee will be deducted from your refund, this is the return handling fee.


Returns to French Overseas Departments and Territories and other foreign countries not included in the above list are at the Buyer's expense. These costs are estimated at a maximum of £1,000 for French overseas departments and territories. The maximum amount of return costs for countries outside the French overseas departments and territories and mainland France is indicated on all our country-specific Websites.


Returns are made under the Buyer’s sole responsibility and any risk related to the return of the goods (damage, theft, breakage) will be at their expense. Eider cannot be held responsible for any customs charges that the Buyer may have to pay for the return and re-shipping of their parcel. Goods returned with unpaid postage will not be accepted. Upon receiving the return parcel, we will check that it is in order. No returns will be accepted if the products returned have been visibly used or damaged by the Buyer and if this use or damage renders the products unfit for sale. If the return cannot be accepted, we will get in contact to return the products at the Buyer’s expense.


Eider will apply charges for return postage for customers whose order delivery country is any of the following: Croatia, Estonia, France, Finland, Greece, Hungary, Ireland, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Czech Republic, Romania, Slovakia, Slovenia. The Buyer will always receive a return label enabling them to return the products to us, but when the return is processed, the return postage costs will be deducted from the refund. Returns to French overseas departments and territories and other foreign countries not included in the above list are at the Buyer's expense. These costs are estimated at a maximum of €1000 for French overseas departments and territories. The maximum amount of return costs for countries other than French overseas departments and territories and mainland France is indicated on the country-specific Websites (CH, BE, UK, DE, AT) or on our international site.


6-3 Processing Returns


Provided that the return is accepted, Eider will reimburse the Buyer from the date on which it is informed of the consumer's decision to withdraw and may defer reimbursement until the goods have been recovered or until the consumer has provided proof of dispatch of the goods. ​​The refund will be made within 14 business days to the billing address entered when the order was placed by the Buyer and via the payment method used to pay for the order or in the form credit at the request of the Buyer. Please note that in accordance with article L.121-21-4 of law no. 2014-344, Eider is not obliged to reimburse additional costs relating to express delivery. Please note: In order to exercise the right of withdrawal, we ask the Buyer to also return items included as part of a promotional offer. Eider will withhold the return fees from the reimbursement. 


After-sales service Legal warranties


7-1 Contractual warranty


The Buyer is covered by Eider's guarantee free of charge. However, Eider cannot be held responsible for the misuse and/or extensive use of the items by the customer. Please find below the procedure for making a claim under the contractual guarantee by our Customer Service Department:


1- We ask the Buyer to send us a photo, even if the fault is not apparent, and a precise description of the problem using the contact form. The order number must be included. 


2- We will email a customer service request form to enclose with the shipment.


3- Send us the clean product together with the return document and a copy of the invoice.


4- On receipt of the parcel, we will carry out a detailed examination of the product to determine whether it is suitable for our after-sales service. This will ensure that the defect is not due to incorrect use of the product.


5- Eider will inform the Buyer with its decision. 


Note: Processing takes between 4 and 8 weeks.


7-2 Legal guarantees


All products offered by Eider are subject to the implementation of the legal guarantees of compliance (articles L.211-4 to L.211-14 of the French Consumer Code) and hidden defects (articles 1641 to 1649 of the French Civil Code). In order to make a claim on one of these guarantees, the Buyer must contact Eider via the contact form, by telephone on 0872 442 8953 (local call charges apply), or by recorded letter with acknowledgement of receipt to the following address: Snowleader 4 allée du Parmelan - 74370 Epagny Metz-Tessy.


Customers are reminded that under the legal guarantee of compliance, they: • have a period of two years from the date of delivery of the goods in which to take action against the seller; • have the option of either replacing the goods or having them repaired, subject to the cost conditions set out in article L. 211-9 of the French Consumer Code; • are exempted from proving the existence of a lack of conformity in the goods during the six months following delivery of the goods.


This period is extended to 24 months from 18 March 2016, except for second-hand goods. The legal guarantee of compliance applies independently of any commercial guarantee that may cover the goods. Consumers are reminded that they may decide to exercise the warranty against hidden defects in the item sold within the meaning of article 1641 of the French Civil Code, and that in this case they may choose between rescission of the sale or a reduction in the sale price in accordance with article 1644 of the French Civil Code.

 


7-3 Exceptions


The contractual warranties do not cover: - incorrect or improper use of the products. We therefore ask the Buyer to carefully read the instructions for use provided with the products. They also do not cover defects and/or that which arises from use that does not comply with the use for which the product is intended, - defects and their effects resulting from any external cause.


Transfer of ownership


All orders remain the property of Eider until full and final payment has been made by the Buyer. The transfer to the Buyer of the risks of loss and deterioration is effective as soon as the parcel is handed over to the Buyer or a third party designated by the Buyer.


Protection of personal data


The information requested by Eider is essential for the management of the Buyer's order (processing and delivery of orders, preparation of invoices). Failure to provide this information may impede or prevent the provision of the service or product requested by the Buyer. Eider ensures their confidentiality and security in accordance with the requirements of General Regulation No. 2016/679 for data protection (“GDPR”) of 27 April 2016. Depending on the selection made by the Buyer when creating or modifying their account, they may receive information and commercial offers from Eider and other companies. The Buyer may at any time decide to no longer receive this information and commercial offers from Eider, either by modifying their selection on the Website in the “Your Account” section, or by specifying their request by e-mail using the contact form on the Website. 


The Buyer's information, which may contain personal data, may be shared with Eider's service providers and partners for the purposes of paying for orders, routing orders, ensuring the security of the Website, complying with legal and regulatory obligations and improving and customising the services offered to the Buyer on the Website. Eider uses the telephone numbers of Buyers exclusively for the purposes of tracking or returning orders. In accordance with article L. 223-2 of the French Consumer Code, which applies even if a business does not use the numbers collected, Eider informs the Buyer of their right to register their number on a list so that it is not used for telephone canvassing, on the Website www.bloctel.gouv.fr. This registration is free and valid for three years. In any case, Eider does not use telephone numbers for prospecting or canvassing.

 


Intellectual Property


All text data, photos, comments, works, graphics and pictures reproduced on the Website are its property. Therefore, it is expressly forbidden to reproduce, download, copy or use them, in whole or in part, for commercial purposes, worldwide, without Eider’s prior consent. 


Liabilities


The products offered on the Site comply with current French legislation and standards. Eider cannot be held responsible for the non-fulfilment or poor fulfilment of the contract concluded between the parties in the event of force majeure, the occurrence of an event attributable to the Buyer or any foreseeable and unforeseeable inconvenience or damage linked to the use of the Internet. Eider cannot be held responsible for any indirect damage that may arise from the purchase of products. 


The photographs, graphics and descriptions accompanying the products have no contractual value and shall not therefore hold Eider liable. As the Website is provided by an external service provider, Eider may not be held liable for any interruption of the Website service, the occurrence of bugs, inaccuracies or omissions relating to the information available on the Website or for any damage resulting from fraudulent interference by a third party who has altered the information on the Website. For each aspect of the site, consultation, filling in forms, placing orders, delivery of items or any other service, Eider only has an obligation of care to a reasonable extent.


Consequently, Eider may not be held liable for any inconvenience or damage caused by the use of the Internet (loss of data, files, etc.) and which is totally external to the measures and precautions taken by Eider. Eider declines all responsibility for the content of the site(s) to which hypertext links may lead from its own Site, as it has no control over their content.


Applicable law and dispute resolution


These General Terms and Conditions of Sale shall be executed and enforced in accordance with French law. In the event of a dispute, the parties shall seek an amicable agreement before taking any legal action. To this end, please contact our customer service department using the contact form or by telephone on 0872 442 8953 (local call charges apply). Our advisors are available Monday to Friday from 9am to 6pm local French time (GMT+1).

After prior written notification by the consumer to Eider, the Mediation Service may be contacted for any consumer dispute which has not been settled.
